The trading and data risks you should understand before relying on anything Rapid Trades displays.

This Risk Disclaimer summarises the most important risks of using Rapid Trades. It is written to be read in full before you rely on anything the Services display.

It is a summary. Our Terms of Service remain the operative agreement between you and Rapid Trades, and contain the complete provisions on these subjects along with the disclaimers, liability limitations and dispute terms that apply. Nothing here narrows or replaces them.

Rapid Trades is market-research software for educational and informational use. Trading securities can result in substantial or complete financial loss. You should not trade money you cannot afford to lose.

Section 1. WHAT RAPID TRADES IS

Rapid Trades is software that organises and analyses market information according to defined criteria. It provides scanner workspaces, criteria-based alerts, market-data displays, news and catalyst context, halt information, rankings and calculated metrics, watchlist candidates, and educational material.

It is a research tool. It is one input into your own process, not a substitute for it.

Rapid Trades does not operate a securities exchange, broker-dealer, brokerage account, investment fund, trade-execution venue, order-routing system, or money-management service.

Section 2. NO INVESTMENT ADVICE

Important — read carefully

Rapid Trades does not provide personalized investment advice and does not make individualized recommendations.

We do not evaluate your income, net worth, portfolio, positions, objectives, strategy, experience, risk tolerance, tax circumstances, time horizon, buying power, or ability to sustain losses. We do not know whether any security is suitable for you.

Everything the Services display is general, impersonal, software-generated market information intended for educational, informational and research purposes.

You are solely responsible for deciding whether, when and how to trade.

Section 3. CRITERIA-BASED ALERTS ARE SOFTWARE EVENTS

A criteria-based alert means Rapid Trades software determined, from the information available to it at the time of processing, that programmed conditions appeared to have occurred.

An alert is a software-generated event. It is not:

  • a recommendation to buy, sell, short or hold;
  • an entry signal or an exit signal;
  • a price target, a stop, or advice about position sizing;
  • an indication that a security is appropriate for you;
  • confirmation that every underlying data point has been verified;
  • a statement that the displayed condition will continue, or that the displayed price is still obtainable; or
  • a guarantee of any outcome.

The appearance of a security anywhere in Rapid Trades — a scanner, the alert feed, a gapper list, a ranking, a watchlist or a news feature — is not an endorsement of that security.

The absence of an alert means nothing about whether a security should or should not be traded.

Section 4. NO BROKERAGE RELATIONSHIP

Rapid Trades is separate from your broker. We do not:

  • receive or route your orders;
  • execute trades or guarantee execution;
  • determine execution prices;
  • hold, manage or have custody of your funds or securities;
  • supervise or control your brokerage account;
  • calculate your actual buying power or control broker risk restrictions;
  • control short-locate availability; or
  • guarantee that your broker displays the same data we do.

Any transaction you place is between you and your chosen brokerage or other financial institution. We are not responsible for your broker's actions, failures, restrictions, data, executions, outages or pricing.

Section 5. TRADING INVOLVES SUBSTANTIAL RISK

Important — read carefully

Trading securities can result in substantial or complete financial loss.

Certain activities carry particularly significant risk, including day trading, momentum trading, premarket and after-hours trading, short selling, and trading volatile or low-priced securities.

You may lose some or all of the capital you commit to a trade. Losses can exceed expectations, and in margin or short positions can exceed the amount initially committed.

Past market behaviour does not guarantee future behaviour, and no feature of Rapid Trades eliminates trading risk.

You should not trade money you cannot afford to lose.

Section 6. LIQUIDITY AND EXECUTION

A price shown in Rapid Trades is information, not an offer, and does not mean that price is available to you.

When you trade:

  • liquidity can disappear within seconds;
  • bid-ask spreads can widen sharply;
  • quoted prices can change before your order reaches the market;
  • orders can receive partial fills, or fail to fill at all;
  • stop orders do not guarantee an execution price;
  • substantial slippage can occur; and
  • your execution price can differ materially from any price displayed in Rapid Trades.

These are characteristics of the market and your broker, not of Rapid Trades, and we do not control them.

Section 7. TRADING HALTS

Securities can be halted at any time, and halt information changes quickly.

Rapid Trades does not control when a security is halted, why an exchange halts it, how long the halt lasts, when quotes or trading resume, or the price at which trading resumes.

Any countdown, estimated time remaining, reason, code or resumption detail shown in Rapid Trades is informational rather than guaranteed.

Do not use Rapid Trades as your sole source for determining whether a security is currently tradeable.

Section 8. MARKET DATA LIMITATIONS

Important — read carefully

Rapid Trades relies in part on third-party market data and infrastructure. We do not guarantee the accuracy, completeness, sequence, reliability, timeliness or availability of market data.

Market information may be delayed, arrive out of sequence, be duplicated, be corrected after distribution, contain errors or omissions, become stale, reflect different trading venues, be temporarily inconsistent, contain symbol-mapping errors, or be unavailable.

A value shown in Rapid Trades may differ from your brokerage platform, an exchange website, another scanner, another data service, another Rapid Trades feature, or the same value moments later. Such differences are inherent in systems processing rapidly changing information from multiple sources.

Different Rapid Trades features may use different data sources, processing intervals, time windows, session definitions or update schedules, and can therefore show different values for the same security. Neither value is guaranteed to be definitive.

Section 9. CALCULATED METRICS

Relative volume, float, strength, rankings, percentages and similar values are analytical measurements, not facts about the future.

There is no single universal calculation for most such metrics. Another platform may use a different methodology and produce a different result for the same security at the same moment.

Float, shares outstanding and similar company information may be outdated, estimated, calculated differently by different providers, or affected by offerings, warrants, conversions, reverse splits or other corporate actions. A displayed float does not guarantee the exact number of shares available for trading at that moment.

No displayed metric, score, ranking or strength value is a guarantee regarding future price performance.

Section 10. ALERT DELIVERY IS NOT GUARANTEED

No alert mechanism is guaranteed — on-screen alerts, sounds, browser notifications, email or any other method.

An alert may arrive late, arrive more than once, be suppressed, contain stale or incorrect information, appear after the underlying market condition has changed, fail to make a sound, fail to reach your device, or fail to appear at all.

Causes include market-data interruptions, provider or infrastructure failures, software defects, network congestion, exchange interruptions, browser or device settings, authentication problems, caching, rate limits, maintenance, and circumstances beyond our control.

Do not rely on Rapid Trades alerts as your sole method of monitoring an open position, a risk limit, a stop, a market event, a security or a portfolio.

Section 11. FALSE POSITIVES AND FALSE NEGATIVES

Automated market scanners inherently produce both false positives and false negatives.

A security may appear even though a data point was incorrect, a condition existed only momentarily, a corporate action affected the calculation, a vendor later corrected its information, or you expected a different calculation.

A security may fail to appear even if, after the fact, available information suggests it satisfied the criteria.

No scanner detects every qualifying security or market event, and Rapid Trades does not claim to.

Section 12. LATENCY

Every electronic system introduces latency. Time is required to generate market information, transmit it, receive it, process it, evaluate conditions, publish an output, transmit that output to your device, and render it to you.

The market can therefore change materially before information reaches you.

A timestamp shown in Rapid Trades records when something was processed. It does not guarantee that the displayed condition remained available at that moment or afterward.

Section 13. NEWS AND CATALYST INFORMATION

Rapid Trades may display news, filings, press releases or headlines as possible catalysts. A catalyst label is an organisational research feature.

It does not mean we have determined that an event caused a price movement, will cause future movement, is material, is accurate, is complete, is positive or negative, or should affect your decision.

Automated or software-assisted classifications can be incorrect, relevant news can be missed entirely, and a displayed headline can omit important context.

Whenever news matters to your decision, read the underlying source yourself.

Section 14. CORPORATE ACTIONS

Corporate actions can temporarily distort or invalidate historical comparisons and current calculations.

These include stock splits, reverse splits, offerings, mergers, acquisitions, warrant exercises, conversions, dividends, reorganisations, symbol changes and exchange changes.

Rapid Trades may not immediately reflect every corporate action across every feature. You are responsible for verifying material corporate actions before making a financial decision.

Section 15. THIRD-PARTY DEPENDENCIES

Rapid Trades depends on third parties for market data, company information, news, hosting, databases, authentication and other infrastructure. Those parties operate independently of us.

Failures, outages, data errors, service changes, licensing decisions or security incidents affecting exchanges, market-data providers, cloud providers, internet infrastructure or other service providers can degrade or interrupt the Services.

The Services are provided on an "as available" basis, and can be unavailable or degraded during market hours. Rapid Trades is not obligated to reimburse trading losses resulting from an outage.

Section 16. INDEPENDENT VERIFICATION

Rapid Trades should be one input in your independent research process, not the sole basis for a financial decision.

Before acting on anything the Services display, independently verify information you consider material using appropriate primary or authoritative sources — exchanges, SEC filings, issuer disclosures, your brokerage data, or official news releases.

Markets can change between the moment Rapid Trades processes information and the moment you view or act on it.

Section 17. NO GUARANTEE OF PERFORMANCE

Important — read carefully

Rapid Trades does not guarantee:

  • profits or investment performance;
  • that any trade will be successful;
  • that any opportunity will be detected;
  • that losses will be avoided;
  • that data will be accurate, complete or timely;
  • that alerts will be delivered;
  • that calculations will match another service; or
  • that a security will move in any particular direction.

Past scanner activity does not predict future results, and no historical example shown anywhere in the Services or in our marketing is a representation of what you will experience.

Section 18. YOUR RESPONSIBILITY

Important — read carefully

You alone determine:

  • whether to trade;
  • what to trade;
  • when to enter and when to exit;
  • how much capital to commit and how to size a position;
  • what risk to accept and how to manage it; and
  • which broker executes your orders.

Rapid Trades surfaces information. Every decision, and every consequence of that decision, is yours.

Consider seeking advice from a qualified, licensed professional who is able to take your individual circumstances into account before making financial decisions.

If you do not accept these risks, do not use Rapid Trades to inform trading decisions.
