- criteria-based alerts;
- market-data displays;
- watchlist candidates;
- news and catalyst features;
- halt information;
- charts, rankings, statistics, indicators, calculations, and analytics;
- notifications;
- educational content;
- free, trial, beta, and paid products; and
- any other Rapid Trades product or service that references these Terms.
Collectively, these are the "Services."
By creating an account, purchasing or starting a subscription or trial, clicking an acceptance button, or otherwise accessing or using the Services, you acknowledge that you have read and agree to these Terms and our Privacy Policy.
If you do not agree, you must not use the Services.
Certain provisions below contain limitations of liability, an arbitration agreement, and a class-action waiver. Please read them carefully.
Section 1. ELIGIBILITY AND UNITED STATES AVAILABILITY
Rapid Trades is currently intended only for users located in the United States.
You must:
- be at least 18 years old;
- be legally capable of entering into a binding agreement;
- provide accurate account information; and
- use the Services in compliance with applicable law.
Rapid Trades may restrict access from particular states, territories, jurisdictions, networks, or locations when reasonably necessary for legal, regulatory, licensing, security, business, or technical reasons.
Availability of the Services does not mean that every feature or type of market data is available to every user.
Rapid Trades may expand or change geographic availability in the future.
Section 2. WHAT RAPID TRADES PROVIDES
Rapid Trades is software designed to organize and analyze market information according to defined criteria.
The Services may include:
- scanner workspaces;
- morning gapper information;
- criteria-based alerts;
- momentum detection;
- rapid price-movement detection;
- relative-volume information;
- volume information;
- public-float information;
- price and percentage-change information;
- market news;
- catalyst information;
- trading-halt information;
- rankings and strength indicators;
- watchlist candidates;
- charts and market statistics;
- notification tools;
- educational materials; and
- other market-research functionality.
Rapid Trades does not operate a securities exchange, broker-dealer, brokerage account, investment fund, trade execution venue, order-routing system, or money-management service.
Section 3. CRITERIA-BASED ALERTS ARE SOFTWARE EVENTS
Important — read carefully
This section is fundamental to your use of Rapid Trades.
A criteria-based alert means that Rapid Trades software determined, using the information available to it at the time of processing, that programmed conditions appeared to have occurred.
An alert is a software-generated event.
An alert does not mean:
- "buy";
- "sell";
- "short";
- "hold";
- "enter";
- "exit";
- "take profit";
- "stop out";
- that Rapid Trades recommends a security;
- that a security is appropriate for you;
- that Rapid Trades has verified every underlying data point;
- that the displayed market condition will continue;
- that an opportunity currently exists;
- that the displayed price remains obtainable;
- that liquidity is available;
- that a security will increase or decrease in value; or
- that a transaction will be profitable.
The appearance of a security in a scanner, alert feed, morning-gapper list, ranking, watchlist, news feature, or other Rapid Trades feature does not constitute an endorsement of that security.
Similarly, the absence of an alert means nothing about whether a security should or should not be traded.
Rapid Trades can miss securities or market events.
Section 4. NO PERSONALIZED INVESTMENT ADVICE
Important — read carefully
Rapid Trades does not provide individualized investment recommendations.
Rapid Trades does not evaluate your:
- income;
- net worth;
- financial circumstances;
- portfolio;
- current positions;
- investment objectives;
- trading strategy;
- experience;
- risk tolerance;
- tax circumstances;
- time horizon;
- margin availability;
- buying power;
- brokerage restrictions; or
- ability to sustain losses.
Rapid Trades will not:
- manage customer funds;
- exercise discretion over customer assets;
- place trades for customers;
- execute customer transactions;
- control customer brokerage accounts; or
- provide individualized instructions telling a customer to buy or sell a particular security.
Information provided through Rapid Trades is general, impersonal software-generated market information intended for educational, informational, and research purposes.
You are solely responsible for deciding whether, when, and how to trade.
Nothing in these Terms itself determines Rapid Trades' status under federal or state securities laws. Rapid Trades will operate subject to applicable law.
Section 5. NO BROKERAGE RELATIONSHIP
Rapid Trades is separate from your broker.
Rapid Trades does not:
- receive your securities orders;
- route orders;
- guarantee execution;
- determine execution prices;
- supervise your brokerage account;
- calculate your actual buying power;
- control broker risk restrictions;
- control locate availability;
- determine settlement;
- maintain custody of securities; or
- guarantee that your broker displays the same data as Rapid Trades.
Any transaction you place occurs between you and your chosen brokerage or other financial institution.
Rapid Trades is not responsible for your broker's actions, failures, restrictions, data, executions, outages, or pricing.
Section 6. TRADING INVOLVES SUBSTANTIAL RISK
Important — read carefully
Trading securities can result in substantial or complete financial loss.
Day trading, momentum trading, premarket trading, after-hours trading, short selling, and trading volatile or low-priced securities can involve particularly significant risks.
Among other things:
- securities can move substantially within seconds;
- liquidity can disappear;
- bid-ask spreads can widen;
- quoted prices can change before an order reaches the market;
- orders can receive partial fills;
- orders may not fill at all;
- stop orders do not guarantee an execution price;
- trading can be halted;
- short shares may become unavailable;
- margin requirements may increase;
- exchanges or brokers may impose restrictions;
- issuers may conduct offerings or corporate actions;
- news may be inaccurate or misunderstood;
- substantial slippage can occur; and
- you may lose all capital committed to a transaction.
Past market behavior does not guarantee future behavior.
No Rapid Trades feature eliminates trading risk.
You should not trade money you cannot afford to lose.
Section 7. INDEPENDENT VERIFICATION
Rapid Trades should be one input in your independent research process, not the sole basis for a financial decision.
Before acting on information displayed by Rapid Trades, you should independently verify information you consider material using appropriate primary or authoritative sources.
Depending on the information, those sources may include:
- exchanges;
- SEC filings;
- issuer disclosures;
- brokerage data;
- official news releases; or
- other independent market-data sources.
Markets can change between the moment Rapid Trades processes information and the moment you view or act upon it.
Section 8. MARKET DATA LIMITATIONS
Important — read carefully
Rapid Trades relies in part on third-party data and infrastructure.
Market information may:
- be delayed;
- arrive out of sequence;
- be duplicated;
- be corrected after initial distribution;
- contain errors;
- contain omissions;
- be unavailable;
- become stale;
- reflect different trading venues;
- be temporarily inconsistent;
- contain symbol-mapping errors; or
- differ from another platform.
Rapid Trades does not guarantee the accuracy, completeness, sequence, reliability, timeliness, or availability of market data.
A value appearing on Rapid Trades may differ from:
- your brokerage platform;
- an exchange website;
- another scanner;
- another market-data service;
- another Rapid Trades feature; or
- the value displayed moments later.
Such differences are inherent in systems that process rapidly changing information from multiple sources.
Section 9. DIFFERENT RAPID TRADES FEATURES MAY SHOW DIFFERENT VALUES
Rapid Trades features may use different:
- data sources;
- processing intervals;
- time windows;
- formulas;
- caching methods;
- session definitions;
- update schedules;
- historical baselines; or
- calculations.
Accordingly, two Rapid Trades features can display different values relating to the same security.
Neither value is guaranteed to be definitive.
Section 10. PRICE AND VOLUME DATA
Price, trade, and volume information may be received from multiple markets or data vendors.
Reported activity may be corrected, canceled, delayed, aggregated, or otherwise adjusted after initial transmission.
Rapid Trades does not guarantee that:
- every trade is captured;
- every trade is captured immediately;
- volume represents every trading venue;
- displayed volume exactly matches your broker;
- historical and current-session data use identical methodologies; or
- a displayed price could have been obtained by a user.
Section 11. RELATIVE VOLUME AND CALCULATED METRICS
Relative volume ("RVOL") and other calculated metrics are analytical measurements.
There is no single universal calculation for every such metric.
Rapid Trades may calculate values using combinations of:
- current market activity;
- historical market activity;
- defined session periods;
- proprietary formulas;
- vendor information; and
- internal processing rules.
Another platform may use a different methodology and produce a different result.
A displayed RVOL, strength value, ranking, percentage, score, or similar metric is not a guarantee regarding future price performance.
Section 12. PUBLIC FLOAT AND SHARE INFORMATION
Float, shares outstanding, and similar company information may originate from regulatory filings, company disclosures, third-party providers, calculated values, or other information sources.
These values can be:
- outdated;
- estimated;
- calculated differently by different providers;
- affected by recent offerings;
- affected by warrants or conversions;
- affected by reverse splits;
- affected by corporate actions; or
- otherwise incomplete.
Rapid Trades does not guarantee that a displayed float value represents the exact number of shares available for trading at that moment.
Section 13. NEWS AND CATALYST INFORMATION
Rapid Trades may identify or display news, filings, press releases, headlines, or other events as possible catalysts.
A catalyst label is an organizational research feature.
It does not mean Rapid Trades has determined that an event:
- caused a price movement;
- will cause future price movement;
- is material;
- is positive;
- is negative;
- is accurate;
- is complete; or
- should affect your trading decision.
Automated or software-assisted classifications can be incorrect.
Rapid Trades may fail to discover relevant news.
A displayed headline can omit important context.
Whenever news is material to your decision, review the underlying source yourself.
Section 14. TRADING HALTS
Rapid Trades may display information concerning trading halts.
Halt information can change quickly.
Rapid Trades does not control:
- when a security is halted;
- why an exchange halts it;
- how long the halt lasts;
- when quotes resume;
- when trading resumes; or
- the price at which trading resumes.
Any countdown, estimated time remaining, reason, code, or resume information should be treated as informational rather than guaranteed.
Do not use Rapid Trades as your sole source for determining whether a security is currently tradeable.
Section 15. CORPORATE ACTIONS
Corporate actions can temporarily distort or invalidate historical comparisons and current calculations.
These actions include:
- stock splits;
- reverse splits;
- offerings;
- mergers;
- acquisitions;
- warrant exercises;
- conversions;
- dividends;
- reorganizations;
- symbol changes;
- exchange changes; and
- other issuer actions.
Rapid Trades may not immediately reflect every corporate action across every feature.
Users are responsible for verifying material corporate actions before making a financial decision.
Section 16. ALERT DELIVERY IS NOT GUARANTEED
Important — read carefully
Rapid Trades may provide:
- on-screen alerts;
- sounds;
- browser notifications;
- email notifications;
- mobile notifications;
- push notifications; or
- other alert mechanisms.
No notification method is guaranteed.
An alert may:
- arrive late;
- arrive more than once;
- be suppressed;
- contain stale information;
- contain incorrect information;
- appear after the underlying market condition has changed;
- fail to make a sound;
- fail to reach your device; or
- fail to appear entirely.
Potential causes include:
- market-data interruptions;
- third-party provider failures;
- cloud infrastructure failures;
- software defects;
- internet congestion;
- exchange interruptions;
- browser settings;
- device settings;
- network conditions;
- authentication problems;
- caching;
- rate limits;
- maintenance;
- deployment issues; and
- circumstances beyond Rapid Trades' control.
Do not rely on Rapid Trades alerts as your sole method of monitoring an open position, risk limit, stop, market event, security, or portfolio.
Section 17. FALSE POSITIVES AND FALSE NEGATIVES
Automated market scanners inherently can generate false positives and false negatives.
A security may appear even when:
- a data point was incorrect;
- a condition existed only momentarily;
- a corporate action affected the calculation;
- a vendor subsequently corrected its information; or
- the user expected a different calculation.
Likewise, a security may fail to appear even if, after the fact, available information suggests that it satisfied certain criteria.
Rapid Trades does not guarantee detection of every qualifying security or market event.
Section 18. LATENCY
Every electronic system introduces some degree of latency.
Time is required to:
- generate market information;
- transmit the information;
- receive the information;
- process the information;
- evaluate scanner conditions;
- publish an output;
- transmit the output to your device; and
- render the output to you.
Accordingly, the market can materially change before an alert reaches you.
A timestamp does not guarantee that the displayed market condition remained available at that timestamp or afterward.
Section 19. DEMO, SIMULATED, BETA, AND EXPERIMENTAL FEATURES
Rapid Trades may provide:
- demonstrations;
- simulated information;
- test environments;
- beta features;
- preview functionality;
- experimental algorithms; or
- developmental tools.
These features may contain fabricated, historical, temporary, incomplete, or simulated information.
Beta and experimental features may fail, change substantially, or disappear without notice.
Unless Rapid Trades expressly states otherwise, demo or test data should not be interpreted as current live market information.
Section 20. PERSONAL TRADING BY RAPID TRADES PERSONNEL
Rapid Trades owners, officers, employees, contractors, or other associated persons may personally invest in or trade securities.
Those securities may also appear within Rapid Trades.
Associated persons may:
- own a security before it appears;
- purchase a security before it appears;
- trade while it appears;
- continue holding it after it appears;
- sell it after it appears;
- sell it before it appears;
- maintain long positions;
- maintain short positions; or
- make trading decisions different from those made by Rapid Trades users.
A Rapid Trades alert does not mean that any Rapid Trades owner, employee, or associated person currently owns or trades the security.
Rapid Trades does not undertake to disclose associated persons':
- positions;
- account balances;
- entry prices;
- exit prices;
- position sizes;
- profits;
- losses; or
- future trading intentions,
except where disclosure is required by applicable law.
Rapid Trades personnel may not intentionally manipulate Service functionality, scanner criteria, alerts, market information, or other outputs for the purpose of artificially influencing a security or improperly benefiting a personal position.
Nothing in these Terms authorizes conduct prohibited by securities laws.
Section 21. THIRD-PARTY PROVIDERS
Rapid Trades may depend upon third parties for:
- market data;
- company information;
- news;
- hosting;
- databases;
- authentication;
- email;
- payment processing;
- analytics;
- security;
- communications;
- content; and
- other infrastructure.
Third parties operate independently from Rapid Trades.
Rapid Trades is not responsible for third-party outages, data errors, service changes, licensing decisions, security incidents, or discontinued services.
Rapid Trades may replace a third-party provider or data source at any time.
Section 22. MARKET-DATA LICENSING
Market information may be subject to rights and restrictions belonging to exchanges, vendors, licensors, or other providers.
Your Rapid Trades subscription does not transfer ownership of third-party market data to you.
Certain providers or exchanges may require:
- separate subscriber agreements;
- professional/non-professional classification;
- additional disclosures;
- identity information;
- business information;
- additional fees; or
- other eligibility requirements.
You must provide accurate information regarding your status.
Rapid Trades may restrict particular data if required by an exchange, vendor, contract, or applicable law.
Section 23. INDIVIDUAL SUBSCRIPTIONS
Unless expressly stated otherwise, standard Rapid Trades subscriptions are licensed to a single individual.
Your subscription is personal to you.
You may not:
- share your password;
- share account access;
- sell account access;
- rent account access;
- allow multiple users to routinely use one account;
- create pooled access;
- bypass concurrent-session limits; or
- use an individual plan as a substitute for required commercial access.
Rapid Trades may use reasonable security and technical measures to identify suspected unauthorized account sharing.
Section 24. PROFESSIONAL AND BUSINESS USERS
Standard public subscription plans are intended for individual users unless Rapid Trades expressly states otherwise.
If you intend to access or use Rapid Trades on behalf of:
- a company;
- investment firm;
- financial institution;
- fund;
- proprietary trading business;
- professional trading organization;
- commercial trading operation; or
- other business,
you must contact sales@rapid-trades.com regarding appropriate access and pricing.
Professional or business use may require:
- separate pricing;
- a commercial agreement;
- different market-data fees;
- different licensing rights; or
- additional terms.
Rapid Trades may request information reasonably necessary to determine your subscriber classification.
If your actual use does not correspond with your subscription classification, Rapid Trades may reclassify, restrict, suspend, or terminate access.
Section 25. ACCOUNT SECURITY
You are responsible for safeguarding your account credentials.
You must promptly notify support@rapid-trades.com if you suspect:
- unauthorized access;
- account compromise;
- stolen credentials; or
- unauthorized activity.
You are responsible for activity occurring through your account to the extent permitted by law when caused by your failure to reasonably protect your credentials.
Rapid Trades may temporarily restrict an account when reasonably necessary to protect the account, the Services, Rapid Trades, or other users.
Section 26. ACCEPTABLE USE
You may use Rapid Trades only for lawful purposes and in accordance with these Terms.
You may not:
- gain unauthorized access to another account;
- circumvent authentication;
- interfere with the Services;
- introduce malware;
- probe systems for vulnerabilities without written authorization;
- conduct denial-of-service attacks;
- overload infrastructure;
- manipulate Service traffic;
- impersonate another person;
- use stolen payment credentials;
- abuse promotions;
- violate securities laws;
- violate data-provider restrictions; or
- assist another person in prohibited conduct.
Section 27. SCRAPING, AUTOMATION, AND DATA EXTRACTION
Rapid Trades invests substantial resources in its scanner infrastructure, data organization, algorithms, user interface, alert logic, and analytical systems.
Unless expressly authorized in writing, you may not:
- scrape the Services;
- crawl the Services;
- systematically copy outputs;
- operate bots against the Services;
- use automated browsers to extract information;
- continuously record alerts for redistribution;
- create an unauthorized API;
- circumvent rate limits;
- harvest data;
- mirror Rapid Trades;
- commercially redistribute Rapid Trades outputs;
- resell Rapid Trades data;
- sublicense Rapid Trades information;
- use automated extraction to recreate Rapid Trades functionality;
- reverse engineer protected components;
- decompile Rapid Trades software;
- attempt to obtain source code through unauthorized means;
- extract proprietary scanner logic;
- reconstruct proprietary alert rules through systematic observation;
- create a competing commercial dataset primarily from Rapid Trades outputs; or
- use Rapid Trades outputs to train or operate a system whose primary purpose is reproducing Rapid Trades' proprietary scanner functionality.
This section does not prohibit ordinary manual use of the Services consistent with your subscription.
Reasonable personal screenshots or personal records are permitted unless applicable third-party licensing restrictions require otherwise.
Section 28. MARKET MANIPULATION AND SECURITIES LAW
Rapid Trades may not be used to facilitate unlawful market activity.
You may not use the Services to facilitate:
- pump-and-dump activity;
- wash trading;
- matched trading;
- spoofing;
- fraudulent securities promotions;
- knowingly false market rumors;
- artificial volume;
- artificial price manipulation;
- unlawful coordinated trading;
- unauthorized securities solicitation; or
- other prohibited conduct.
Rapid Trades may investigate suspected abuse.
Rapid Trades may preserve information and cooperate with regulators, exchanges, law enforcement, courts, or other legally authorized parties when required or permitted by law.
Section 29. INTELLECTUAL PROPERTY
Rapid Trades retains ownership of or applicable rights in its original:
- software;
- scanner architecture;
- source code;
- branding;
- logos;
- graphics;
- website;
- interfaces;
- layouts;
- original written materials;
- databases;
- proprietary calculations;
- ranking systems;
- alert logic;
- workflows; and
- other intellectual property.
Your subscription provides access to the Services. It does not transfer ownership of Rapid Trades intellectual property.
Third-party materials remain owned by their respective rights holders.
All rights not expressly granted are reserved.
Section 30. FEEDBACK
If you voluntarily provide Rapid Trades with product feedback, suggestions, ideas, feature requests, or recommendations, you grant Rapid Trades a worldwide, perpetual, irrevocable, royalty-free right to use, modify, incorporate, commercialize, and otherwise use that feedback without compensation or obligation to you.
This provision applies to feedback about Rapid Trades and does not grant Rapid Trades ownership of unrelated confidential information belonging to you.
Section 31. SUBSCRIPTIONS
Rapid Trades may offer monthly and annual paid subscriptions.
The applicable:
- price;
- billing interval;
- features;
- trial terms; and
- renewal information
will be disclosed during purchase.
Except where expressly identified as non-renewing, paid subscriptions automatically renew at the applicable billing interval until canceled.
By purchasing a recurring subscription, you authorize Rapid Trades and its payment processor to charge your designated payment method for recurring subscription fees and applicable taxes.
Section 32. AUTOMATIC RENEWAL
Monthly subscriptions ordinarily renew each month.
Annual subscriptions ordinarily renew each year.
Renewal occurs until you cancel or Rapid Trades terminates the subscription.
The price charged at renewal will be the applicable subscription price disclosed to you, subject to lawful price changes and required notice.
Rapid Trades will provide renewal disclosures and notices where required by applicable law.
Section 33. CANCELLATION
You may cancel your Rapid Trades subscription directly from the subscription or billing controls available through your Rapid Trades account.
Cancellation stops future automatic renewal.
Unless applicable law or a specific offer states otherwise:
- cancellation does not reverse a charge already processed;
- you retain access through the end of your paid subscription period; and
- your subscription will not renew after the current period ends.
If account-based cancellation is temporarily unavailable because of a technical problem, contact support@rapid-trades.com.
Rapid Trades will not intentionally require users to continue paying after a valid cancellation has become effective.
Section 34. TRIALS AND PROMOTIONAL OFFERS
Rapid Trades may offer:
- free trials;
- paid trials;
- promotional pricing;
- introductory offers;
- beta access; or
- other limited offers.
Specific offer terms displayed during enrollment control the duration, price, eligibility, conversion, and renewal terms of that offer.
If a trial is disclosed as automatically converting into a paid subscription, you authorize the disclosed charge unless you cancel before the applicable conversion date.
Rapid Trades may limit promotions to eligible new customers or impose reasonable limits by:
- individual;
- household;
- payment method;
- account; or
- other fraud-prevention criteria.
Creating multiple accounts to repeatedly obtain introductory offers is prohibited.
Section 35. REFUND POLICY
Important — read carefully
Except where required by applicable law or where Rapid Trades expressly states otherwise for a particular offer:
ALL SUBSCRIPTION CHARGES ARE NON-REFUNDABLE ONCE PROCESSED.
Rapid Trades does not ordinarily provide:
- prorated refunds;
- refunds for unused subscription time;
- refunds because a user forgot to cancel;
- refunds because a user did not use the Services;
- refunds because a security was not detected;
- refunds because an alert was missed;
- refunds because a trade lost money; or
- refunds based on dissatisfaction with trading results.
If Rapid Trades voluntarily provides a refund, credit, extension, or accommodation in an individual case, that decision does not create a continuing obligation or modify this policy.
Nothing in this section limits refund rights that cannot legally be waived.
Section 36. PAYMENT FAILURES AND CHARGEBACKS
You must provide a valid payment method for paid subscriptions.
If payment fails, Rapid Trades may:
- retry the payment;
- request an updated payment method;
- restrict paid features; or
- suspend the subscription.
Nothing in these Terms prevents you from exercising lawful rights to dispute genuinely unauthorized or erroneous charges.
However, knowingly submitting false payment disputes, fraudulent chargebacks, or materially misleading claims regarding authorized transactions may constitute a violation of these Terms.
Section 37. TAXES
Prices may not include applicable taxes unless expressly stated.
Rapid Trades may collect sales, use, or similar taxes when legally required.
You are responsible for taxes applicable to your purchase except taxes imposed directly on Rapid Trades' income.
Section 38. CHANGES TO PRICING
Rapid Trades may change subscription pricing.
A price change does not ordinarily alter a subscription period already paid for.
For recurring subscriptions, Rapid Trades will provide advance notice of price increases where required by applicable law before charging the increased renewal price.
If you do not want to continue at the new price, you may cancel before the renewal becomes effective.
Section 39. CHANGES TO THE SERVICES
Financial markets, technology, regulations, and data sources change.
Rapid Trades may therefore:
- add features;
- remove features;
- replace features;
- change scanner criteria;
- change calculations;
- change thresholds;
- change data providers;
- change supported securities;
- change supported sessions;
- modify interfaces;
- discontinue features; or
- discontinue all or part of the Services.
Rapid Trades does not guarantee permanent availability of a particular feature, provider, metric, scanner, alert type, or data source.
Section 40. SERVICE AVAILABILITY
The Services are provided on an "AS AVAILABLE" basis.
Rapid Trades does not promise uninterrupted operation or a specific uptime percentage unless Rapid Trades separately enters into a written service-level agreement expressly providing otherwise.
The Services may be unavailable or degraded during market hours.
Potential causes include:
- maintenance;
- software deployments;
- cyber incidents;
- vendor outages;
- exchange outages;
- data-provider outages;
- cloud outages;
- internet failures;
- unusual market activity;
- capacity issues;
- software defects;
- infrastructure failures; or
- circumstances beyond Rapid Trades' reasonable control.
Rapid Trades is not obligated to reimburse trading losses resulting from an outage.
Section 41. SUSPENSION AND TERMINATION
Rapid Trades may suspend, restrict, or terminate an account when reasonably necessary because of:
- material violation of these Terms;
- nonpayment;
- fraudulent activity;
- security concerns;
- suspected credential compromise;
- unauthorized account sharing;
- unauthorized data extraction;
- market-data licensing requirements;
- unlawful activity;
- abuse of trials or promotions;
- threats to infrastructure;
- regulatory requirements; or
- other material misuse of the Services.
Rapid Trades may act immediately when reasonably necessary to prevent fraud, security damage, unlawful activity, unauthorized data distribution, or harm to other users.
Where appropriate, Rapid Trades may instead provide warning or an opportunity to correct the violation.
Section 42. EFFECT OF TERMINATION
When your subscription expires or is terminated, your right to use paid Services ends.
Termination does not eliminate:
- charges already validly incurred;
- intellectual-property rights;
- obligations arising from prior misuse;
- indemnification obligations;
- limitations of liability;
- dispute provisions; or
- other provisions intended by their nature to survive termination.
Section 43. PRIVACY
Rapid Trades' collection and use of personal information is governed by its Privacy Policy.
Rapid Trades may use service providers to assist with:
- hosting;
- authentication;
- payment processing;
- analytics;
- customer support;
- security; and
- communications.
No online system can guarantee absolute security.
You are responsible for maintaining reasonable security over your own devices and credentials.
Section 44. THIRD-PARTY LINKS
The Services may link to third-party websites, filings, articles, news sources, brokerages, exchanges, or other resources.
A link does not constitute an endorsement.
Rapid Trades does not control third-party websites and is not responsible for their:
- availability;
- content;
- security;
- accuracy;
- privacy practices;
- products; or
- services.
Your dealings with third parties are between you and those third parties.
Section 45. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
RAPID TRADES DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT; AND
- ACCURACY.
WITHOUT LIMITING THE FOREGOING, RAPID TRADES DOES NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE AVAILABLE;
- THE SERVICES WILL BE ERROR-FREE;
- EVERY QUALIFYING SECURITY WILL BE IDENTIFIED;
- EVERY ALERT WILL BE DELIVERED;
- MARKET DATA WILL BE ACCURATE;
- INFORMATION WILL BE COMPLETE;
- INFORMATION WILL BE TIMELY;
- CALCULATIONS WILL MATCH OTHER SERVICES;
- THIRD-PARTY DATA WILL BE CORRECT;
- DEFECTS WILL ALWAYS BE CORRECTED;
- A SECURITY WILL MOVE IN A PARTICULAR DIRECTION; OR
- USE OF RAPID TRADES WILL PRODUCE PROFITS OR PREVENT LOSSES.
Some jurisdictions do not permit exclusion of certain warranties. In those jurisdictions, exclusions apply only to the extent legally permitted.
Section 46. EXCLUSION OF TRADING AND CONSEQUENTIAL LOSSES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAPID TRADES AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, DATA PROVIDERS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR:
- TRADING LOSSES;
- INVESTMENT LOSSES;
- LOST PROFITS;
- MISSED PROFITS;
- LOST OPPORTUNITIES;
- MISSED TRADES;
- SLIPPAGE;
- POOR EXECUTIONS;
- MARKET MOVEMENTS;
- LOST DATA;
- LOSS OF BUSINESS;
- LOSS OF GOODWILL;
- SERVICE INTERRUPTIONS;
- DELAYED ALERTS;
- MISSING ALERTS;
- INCORRECT ALERTS;
- INCORRECT MARKET DATA;
- INCORRECT FLOAT DATA;
- INCORRECT RVOL;
- INCORRECT NEWS CLASSIFICATION;
- INCORRECT HALT INFORMATION; OR
- RELIANCE UPON INFORMATION PRESENTED THROUGH THE SERVICES.
RAPID TRADES WILL ALSO NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
These exclusions apply regardless of legal theory, including contract, negligence, tort, warranty, statute, or otherwise.
Section 47. LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAPID TRADES' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) $100; OR
(B) THE SUBSCRIPTION FEES ACTUALLY PAID BY YOU DIRECTLY TO RAPID TRADES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation applies collectively to all claims arising from the same underlying circumstances.
Nothing in these Terms limits liability to the extent such liability cannot legally be limited or excluded.
Section 48. USER INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Rapid Trades and its owners, affiliates, officers, employees, contractors, licensors, and service providers from third-party claims, liabilities, losses, damages, and reasonable legal expenses arising from:
- your unlawful use of the Services;
- your material breach of these Terms;
- your violation of another person's rights;
- your unauthorized redistribution of information;
- fraudulent activity through your account;
- content you submit through the Services; or
- activity you knowingly authorize in violation of these Terms.
You are not required to indemnify Rapid Trades for liabilities that applicable law requires Rapid Trades itself to bear.
Section 49. ELECTRONIC COMMUNICATIONS
You consent to receiving Service-related communications electronically.
These may include:
- billing notices;
- subscription notices;
- security notices;
- account communications;
- policy updates;
- legal disclosures; and
- operational messages.
Communications may be provided through your Rapid Trades account or the email address associated with your account.
You are responsible for maintaining an accurate email address.
Marketing communications remain subject to applicable consent and opt-out requirements.
Section 50. CHANGES TO THESE TERMS
Rapid Trades may revise these Terms when reasonably necessary to address:
- new features;
- business changes;
- legal requirements;
- security issues;
- data-provider requirements; or
- other changes to the Services.
The current version will display its effective or last-updated date.
For material changes affecting user rights or obligations, Rapid Trades will provide reasonable notice where required by law.
When legally permitted, continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms.
If you do not accept revised Terms, you must discontinue use and cancel future subscription renewal.
Section 51. INFORMAL DISPUTE RESOLUTION
Before initiating arbitration or litigation, you and Rapid Trades agree to attempt in good faith to resolve the dispute informally.
The person initiating a dispute must send a written notice containing:
- full name;
- Rapid Trades account email;
- a description of the dispute;
- relevant facts; and
- the specific relief requested.
Notices to Rapid Trades must be sent to:

The parties will have at least 30 days after receipt of a complete notice to attempt resolution before initiating arbitration, except where immediate injunctive or emergency relief is reasonably necessary.
Section 52. BINDING INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY.
Except for:
- qualifying individual small-claims matters;
- claims for immediate injunctive relief involving intellectual-property misuse, unauthorized access, data theft, or security threats; and
- disputes that applicable law prohibits from being arbitrated,
you and Rapid Trades agree that disputes arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration rather than by a judge or jury.
Consumer arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules and Mediation Procedures, as modified by these Terms where legally permitted.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitrator may award individual remedies available under applicable law.
Judgment on an arbitration award may be entered in any court having jurisdiction.
Section 53. SMALL CLAIMS OPTION
Either party may bring an eligible individual dispute in small claims court instead of arbitration.
A claim pursued in small claims court must remain individual and within that court's jurisdiction.
Section 54. ARBITRATION OPT-OUT
You may opt out of the arbitration agreement without affecting your Rapid Trades account or subscription.
To opt out, you must send notice within 30 days after first accepting these Terms to:

The notice must include:
- your full name;
- your Rapid Trades account email; and
- a clear statement that you elect to opt out of the Rapid Trades arbitration agreement.
An arbitration opt-out applies only to the arbitration agreement. All other provisions of these Terms remain effective.
Section 55. CLASS-ACTION AND REPRESENTATIVE-ACTION WAIVER
Important — read carefully
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND RAPID TRADES AGREE THAT CLAIMS AGAINST EACH OTHER WILL BE ASSERTED ONLY ON AN INDIVIDUAL BASIS.
Neither party may seek to have a dispute resolved as:
- a class action;
- collective action;
- representative action;
- consolidated proceeding involving unrelated claimants; or
- private-attorney-general action on behalf of others,
except where applicable law prohibits waiver of a particular form of relief.
The arbitrator may grant relief only to the individual claimant and only to the extent necessary to resolve that claimant's individual dispute, except where applicable law requires otherwise.
Section 56. JURY-TRIAL WAIVER

For disputes that proceed in court rather than arbitration, you and Rapid Trades waive the right to trial by jury to the maximum extent permitted by applicable law.
Section 57. TIME LIMIT FOR CLAIMS
To the extent permitted by applicable law, any claim arising from or relating to the Services or these Terms must be filed within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.
If applicable law prohibits this contractual limitation for a particular claim, the legally required limitations period applies instead.
Section 58. GOVERNING LAW
Except where federal law or another mandatory law applies, these Terms will be governed by the laws of:

Section 59. COURT VENUE

- internet outages;
- cloud outages;
- power failures;
- cyberattacks;
- natural disasters;
- government actions;
- wars;
- terrorism;
- civil disturbances;
- labor disruptions;
- widespread telecommunications failures; or
- major failures of third-party infrastructure.
Section 61. ASSIGNMENT
You may not transfer your account, subscription, or rights under these Terms without Rapid Trades' written consent.
Rapid Trades may assign these Terms in connection with:
- a merger;
- acquisition;
- financing;
- corporate reorganization;
- sale of assets;
- sale of the business; or
- transfer of the Services to another entity.
Section 62. NO THIRD-PARTY BENEFICIARIES
Except where an applicable third-party data agreement expressly provides otherwise, these Terms do not create enforceable rights for persons who are not parties to them.
Section 63. SEVERABILITY
If a court or arbitrator determines that a provision of these Terms is invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed to the minimum extent necessary.
The remaining provisions will remain in effect.
Section 64. NO WAIVER
Rapid Trades' failure to enforce a provision does not waive its right to enforce that provision later.
A waiver on one occasion does not constitute a continuing waiver.
Section 65. ENTIRE AGREEMENT
These Terms, together with:
- the Rapid Trades Privacy Policy;
- checkout disclosures;
- applicable subscription terms;
- applicable trial terms;
- applicable market-data agreements; and
- any separate written agreement expressly entered into between you and Rapid Trades,
constitute the agreement concerning your use of the Services.
Professional and business users may be subject to separate commercial agreements.

They do not limit or alter the meaning of the provisions.
Section 67. SURVIVAL
Provisions concerning:
- trading responsibility;
- intellectual property;
- data restrictions;
- account misuse;
- disclaimers;

- arbitration;
- governing law; and
- obligations that by their nature should survive
will remain effective after termination of your account or subscription.

By using Rapid Trades, you acknowledge and agree that:
- Rapid Trades is market-research software.
- Criteria-based alerts are automated software events and are not instructions to trade.
- Rapid Trades does not know whether a security is suitable for you.
- Rapid Trades does not execute your trades.
- Market data can be incorrect, incomplete, inconsistent, or delayed.
- Alerts can be late, incorrect, duplicated, or entirely absent.
- Rapid Trades may miss securities that satisfy scanner criteria.
- Rapid Trades personnel may personally trade securities appearing within the Services.
- You will independently evaluate information before making trading decisions.
- You alone control and are responsible for your trading decisions.
- Trading can result in substantial or complete financial loss.
- Rapid Trades does not guarantee profits, performance, opportunity detection, or avoidance of losses.
If you do not agree to these conditions, do not use Rapid Trades.
